Terms of Service

Kolli is a brand of Backant Inc. ("Company", "us", "our", and "we"). The website located at trykolli.com and the Kolli application located at app.trykolli.com (together, the "Service") are copyrighted works belonging to Backant Inc. Certain features of the Service may be subject to additional guidelines, terms, or rules, which will be posted on the Service in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.
THESE TERMS OF SERVICE (THESE "TERMS") SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU ARE ACCEPTING THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT), AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT). YOU MAY NOT ACCESS OR USE THE SERVICE OR ACCEPT THE TERMS IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE SERVICE.
PLEASE BE AWARE THAT SECTION 13 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND COMPANY. AMONG OTHER THINGS, SECTION 13 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 13 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. UNLESS YOU OPT OUT OF THE AGREEMENT TO ARBITRATE WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.
1. Description of the Service
Kolli is a cold-calling and meeting-scheduling workspace for sales teams. The Service includes, among other features:
- A browser-based dialer with parallel dialing and voicemail detection
- Call recording, transcription, and AI-assisted call coaching and scoring
- Lead list management, lead sourcing integrations, and pipeline tracking
- Call scripts, objection libraries, and team performance analytics
- SMS follow-up, meeting scheduling links, and CRM synchronization
2. Accounts
2.1 Account Creation
In order to use the Service, you must register for an account ("Account") and provide certain information about yourself as prompted by the registration form (or sign in via a supported identity provider such as Google or GitHub). You represent and warrant that: (a) all required registration information you submit is truthful and accurate; and (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions in the Service. Company may suspend or terminate your Account in accordance with Section 11.
2.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account, including activities of team members you invite into your workspace. You agree to immediately notify Company of any unauthorized use, or suspected unauthorized use of your Account or any other breach of security. Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
3. Access to the Service
3.1 License
Subject to these Terms and your payment of applicable fees, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Service for your internal business purposes.
3.2 Certain Restrictions
The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Service, whether in whole or in part; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Service; (c) you shall not access the Service in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means.
4. Calling, Recording, and Messaging Compliance
The Service places telephone calls and sends SMS messages on your behalf. You are solely responsible for your use of these features in compliance with all applicable laws and regulations, including without limitation:
- Call recording consent. Recording and transcription laws vary by jurisdiction; some require the consent of all call participants. You are responsible for determining the consent requirements that apply to your calls and for obtaining any required consent before recording. You can disable recording in your workspace settings.
- Telemarketing rules. You must comply with applicable telemarketing and consumer-protection laws, including (in the United States) the Telephone Consumer Protection Act (TCPA) and the Telemarketing Sales Rule, and equivalent laws elsewhere — including rules on calling hours, caller identification, and do-not-call requests.
- Do-not-call lists. The Service provides do-not-call list tooling, but maintaining and honoring do-not-call requests and registry obligations remains your responsibility.
- Messaging. SMS messages sent through the Service must comply with applicable messaging laws and carrier requirements, including consent and opt-out handling.
You agree not to use the Service to harass, defraud, or deceive any person, to place calls or send messages to emergency services, or to engage in any unlawful, abusive, or fraudulent calling or messaging activity. Violation of this Section may result in immediate suspension or termination of your Account.
5. Customer Data and AI Features
You retain ownership of the data you upload to or generate in the Service — including lead lists, scripts, call recordings, and transcripts ("Customer Data"). You grant Company a license to host, process, and display Customer Data solely as necessary to provide the Service. You represent that you have all rights and lawful bases necessary to upload and process your Customer Data through the Service.
The Service includes AI-assisted features such as live call guidance, call scoring, script generation, and transcription. AI output may be inaccurate or incomplete and is provided for informational purposes only — it is not legal, compliance, or professional advice. You are responsible for reviewing AI output before relying on it.
6. Subscriptions and Billing
Certain features of the Service require a paid subscription or prepaid usage packs (for example, talk-time minutes or lead credits). Pricing and plan limits are described in the Service. Payments are processed by Stripe; by subscribing you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel at any time — access continues until the end of the current billing period. Except where required by law, fees are non-refundable and unused usage allowances do not roll over unless expressly stated in the Service.
7. Indemnification
You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Service, including your calling, recording, and messaging activity, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, or (d) your Customer Data.
8. Third-Party Services and Links
The Service interoperates with third-party services (for example telephony carriers, CRM systems, lead-data providers, and scheduling tools) and may contain links to third-party websites. Such third-party services and links are not under the control of Company, and Company is not responsible for them. Your use of third-party services is governed by their own terms and policies.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND COMPANY (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT CALLS WILL CONNECT, THAT TRANSCRIPTS OR AI OUTPUT WILL BE ACCURATE, OR THAT USE OF THE SERVICE WILL RESULT IN ANY PARTICULAR BUSINESS OUTCOME.
10. Limitation on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND (B) FIFTY US DOLLARS ($50).
11. Term and Termination
Subject to this Section, these Terms will remain in full force and effect while you use the Service. We may suspend or terminate your rights to use the Service (including your Account) at any time for any reason at our sole discretion, including for any use of the Service in violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may request export and deletion of your data as described in our Privacy Policy.
12. Copyright Policy
Company respects the intellectual property of others and asks that users of our Service do the same. If you believe that a user is unlawfully infringing copyright through the use of the Service, please contact our designated Copyright Agent:

13. Dispute Resolution
You agree that any dispute between you and Company relating in any way to the Service or these Terms will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. This Arbitration Agreement shall apply to all claims that arose or were asserted before you agreed to these Terms. You and Company each waive the right to a trial by jury and the right to participate in a class action or class-wide arbitration.
30-Day Right to Opt Out: You have the right to opt out of the provisions of this Arbitration Agreement by sending a timely written notice within 30 days after first becoming subject to it to: 5214f Diamond Heights Boulevard, San Francisco, California 94131, or by email to [email protected].
14. General
These Terms constitute the entire agreement between you and Company regarding the use of the Service. We reserve the right to modify these Terms at any time; we will notify you of material changes by email or through the Service, and continued use of the Service after changes constitutes acceptance. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
